Agency," "we," "us," or "our"), a licensed security agency operating in the State of Florida. By accessing our website, submitting a form, or engaging our services, you agree to be bound by these Terms in their entirety. If you do not agree with any provision of these Terms, you must discontinue use of our website and services immediately.
1. Acceptance of Terms
By accessing or using the U.S.S. Agency website at ussagency.com, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. These Terms apply to all visitors, users, clients, and any other persons who access or use our website or engage our services in any capacity. We reserve the right to modify these Terms at any time without prior notice. Your continued use of our website or services following any changes constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically for changes.
2. Services Description
U.S.S. Agency provides professional security services throughout the State of Florida and nationwide, including but not limited to armed security guards, unarmed security officers, executive protection, fire watch services, event security, loss prevention, concierge security, mobile patrol, access control, and specialized security solutions for various industries. All security personnel deployed by U.S.S. Agency are licensed and insured in accordance with applicable state and federal regulations. The specific terms, scope, and pricing of security services are defined in individual service agreements between U.S.S. Agency and the client. These Terms of Service supplement but do not replace the terms of any executed service agreement.
3. Client Responsibilities
Clients engaging U.S.S. Agency for security services agree to the following responsibilities:
- Provide accurate and complete information regarding the location, nature, and scope of the security assignment
- Ensure that all areas where security personnel will be posted are safe and accessible
- Notify U.S.S. Agency promptly of any changes to the assignment scope, schedule, or site conditions
- Refrain from directing security personnel to perform tasks outside the agreed scope of services
- Comply with all applicable local, state, and federal laws and regulations
- Maintain a safe working environment for all security personnel assigned to the site
Failure to meet these responsibilities may result in service modifications, additional charges, or termination of the service agreement at the discretion of U.S.S. Agency.
4. Payment Terms
Payment terms for security services are established in the individual service agreement between U.S.S. Agency and the client. Unless otherwise specified in writing, the following general payment terms apply:
- Invoices are issued on a weekly or bi-weekly basis as agreed upon in the service contract
- Payment is due within fifteen (15) days of the invoice date unless otherwise specified
- Accepted payment methods include checks, ACH transfers, credit cards, and wire transfers
- Late payments may incur a late fee of 1.5% per month on the outstanding balance
- U.S.S. Agency reserves the right to suspend services if payment is more than thirty (30) days past due
All rates quoted are subject to change with thirty (30) days written notice to the client. Emergency or short-notice service requests may be subject to premium rates as communicated at the time of booking.
5. Cancellation Policy
Clients may cancel or modify scheduled security services subject to the following conditions:
- Cancellations made more than seventy-two (72) hours before the scheduled start of service will not incur a cancellation fee
- Cancellations made within seventy-two (72) hours of the scheduled start may incur a cancellation fee equal to the cost of one shift
- Cancellations made within twenty-four (24) hours of the scheduled start, or no-shows, will be billed at the full rate for the first scheduled shift
- Ongoing service contracts may be terminated with thirty (30) days written notice unless otherwise specified in the service agreement
U.S.S. Agency reserves the right to cancel or withdraw from a service engagement if safety conditions are compromised, if the client breaches the service agreement, or if circumstances arise that make continued service impractical or unsafe.
6. Liability Limitations
U.S.S. Agency provides security services on a best-efforts basis. While we employ trained, licensed, and insured security professionals, we do not guarantee the prevention of all criminal activity, property damage, personal injury, or loss. To the fullest extent permitted by Florida law, U.S.S. Agency's liability for any claims arising out of or related to our services shall not exceed the total amount paid by the client for the specific service engagement giving rise to the claim.
U.S.S. Agency shall not be liable for any indirect, incidental, consequential, special, or punitive damages, regardless of the cause of action or the theory of liability. This limitation applies to damages arising from property theft, vandalism, personal injury, business interruption, or any other loss occurring at a site where our personnel are or were assigned.
Nothing in these Terms shall be construed to limit liability for damages caused by the gross negligence or willful misconduct of U.S.S. Agency or its employees.
7. Indemnification
You agree to indemnify, defend, and hold harmless U.S.S. Agency, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or related to:
- Your use of the U.S.S. Agency website
- Your breach of these Terms of Service
- Your violation of any applicable law or regulation
- Any misrepresentation made by you regarding the nature of the security assignment or site conditions
- Any actions taken by you or your employees, agents, or contractors that result in harm to U.S.S. Agency personnel
This indemnification obligation shall survive the termination of any service agreement and these Terms of Service.
8. SMS/Text Message Terms
U.S.S. Agency may offer the option to receive SMS text messages related to our services. By opting in to receive text messages from U.S.S. Agency, you agree to the following terms, which are fully compliant with the Telephone Consumer Protection Act (TCPA):
- Opt-In: SMS messaging requires your express written consent, provided by checking the SMS consent checkbox on any form on ussagency.com. Consent is not a condition of purchasing any services from U.S.S. Agency.
- Message Frequency: Message frequency varies based on your interactions with our services. You may receive appointment confirmations, service updates, promotional offers, and follow-up messages.
- Message and Data Rates: Standard message and data rates may apply depending on your wireless carrier and plan. U.S.S. Agency is not responsible for any charges imposed by your carrier.
- Opt-Out: You may opt out of SMS messages at any time by replying STOP to any message received from U.S.S. Agency. You will receive a single confirmation message and no further texts will be sent.

10. Governing Law
These Terms of Service and any disputes arising out of or related to these Terms or the services provided by U.S.S. Agency shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any legal action or proceeding relating to these Terms shall be brought exclusively in the state or federal courts located in Orange County, Florida. You consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.
